HUG Community Terms of Use

Thank you for being part of the Higher Logic User Group (HUG) Community (“Community”). This Community is made up of Higher Logic employees, partners, and users, and provides a resource for Higher Logic product knowledge, peer-to-peer support, and best practices for our products. We value your feedback so you may also notice Higher Logic engaging with members on our products and discussing upcoming product enhancements.
To provide the best possible experience for all members, we have established these HUG Community Terms of Use (“Terms”) that apply to your use of the Community. Because these Terms are critical to the success of the Community, we can’t let you use our Community unless you agree to them. By joining and using this Community, you agree that you have read, understand, and will follow these Terms.
We reserve the right to modify these Terms at any time without giving you prior notice. Your continued engagement in the Community following any such updates constitutes your agreement to follow and be bound by these Terms, as modified. The last date these Terms were revised is listed at the top of the page, so be sure to check back occasionally.

Respect others. Focus on the content of posts and not on the people making them. Please extend the benefit of the doubt to newer guests and members; there’s no such thing as a stupid question. All defamatory, abusive, profane, threatening, offensive, or illegal materials are strictly prohibited.

Stay on Topic. Use the Community to share successes, challenges, constructive feedback, questions, and goals instead of products or services that you use and/or sell. Commercial messages in discussions, library entries, or elsewhere will be removed. This includes links intended to gather leads by collecting email addresses or other contact information in exchange for resources, webinars, etc. Continued solicitation in this manner will result in suspension and removal from the Community.

Be responsible. You are solely responsible for your content and interactions with other Community members. Please use caution when posting comments and discussions, or when interacting with other members. Information posted in the Community and libraries is available for all to see, and any content posted may be subject to applicable laws and regulations, as well as any contractual agreements you may be party to.

Respect intellectual property. Only post content that you have personally created or have appropriate permission to use and publicly share. Please be sure to include any proper attributions to the content creator. When posting in our Community, please include any limitations for use of your content by your fellow members. If you don’t see any limitations on content, we recommend exercising caution and reaching out to the author to obtain permission prior to reusing their content.

Respect everyone’s privacy. Please refrain from posting anything about yourself, your company, or another Community member that you do not want made public. Do not share any personal information that you may receive from other members. You are responsible for any personal information disclosed by you to the Community. This means that no private or personal information should be exchanged within the Community.

Moderation. In order to foster an environment that encourages collaborative engagement, Higher Logic reserves the right to monitor, edit, or remove content that violates these Terms without your prior written consent. We also reserve the right to suspend or terminate your membership in this Community for any violation of these Terms at any time.
In its sole discretion, Higher Logic may choose to implement a documented “3-strike” process for Terms violation(s), as outlined below:

Strike 2: A written warning, removal of the content, in-person discussion with appropriate Higher Logic Staff, and 30-day suspension from HUG beginning on day of Terms violation.

Strike 3: A written warning, removal of the post, in-person discussion with appropriate Higher Logic Staff, and HUG account deactivation.

Reporting Issues. If you notice anything that doesn’t align with these Terms, please reach out to our HUG Community Manager.

Community Access. This Community is provided as a service for the members of the Higher Logic Users Group and use or engagement with the Community is always subject to these Terms. Higher Logic may use third-party service providers to provide certain features of the Community. Your use of the Community grants us the right to share any required information with our third-party service providers that is necessary to enable your use of these features within the Community. If you believe your account in the Community has been compromised, please notify our HUG Community Manager immediately.

AI Usage. You acknowledge that Higher Logic may make certain features available for your use in the Community that are powered by Artificial Intelligence (AI). By engaging with any such features, you agree and acknowledge Higher Logic’s AI Terms.

Prohibited Use. Without effecting any other limitations in these Terms, you may not use the Community in a way that:

is threatening, abusive, harassing, stalking, or defamatory;

may damage the operation of another person's computer, such as by uploading files that contain viruses, corrupted files, or any other similar software or programs;

Higher Logic Use of Community Content. You grant to Higher Logic all rights, licenses and permissions necessary to collect, use, process, display, reproduce, disseminate, or otherwise use your content in connection with the Community, regardless of whether such content is anonymized or not. Higher Logic encourages all members to provide feedback on Higher Logic products, including suggestions for product enhancements. You agree that all such feedback is not confidential and that Higher Logic owns all rights to use and incorporate your feedback, without obligation, into Higher Logic products without payment or attribution to you.

Links to Third-Party Web Sites. Links in the Community to third party web site or information are provided solely as a convenience to you. If you use these links, you will leave the Community and be subject to the terms and privacy policies of those third parties. Such links do not constitute or imply an endorsement, sponsorship, or recommendation by Higher Logic of the third party, the third-party web site, or the information found there. Higher Logic is not responsible or liable for any such web sites or their content.

Downloading Files. Higher Logic cannot and does not guarantee or warrant that files available for downloading through the Community will be free of infection by software viruses or other harmful computer code, files or programs.

Your Guarantee. You represent and warrant that your participation in the Community does not conflict with any existing contractual obligations you are party to, you have all necessary rights to your content to enable use by Higher Logic in accordance with these Terms, and your content does not violate or infringe any intellectual property right, right of privacy, right of publicity, or other proprietary right.

Indemnification. You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party to the extent that such Action is based upon or arises out of (a) your use of the Community, (b) your disclosure or solicitation of personal information, (c) any use of personal information that you disclosed, whether this use is by you or a third party, (d) your noncompliance with or breach of these Terms, or (e) your use of third-party products or third-party sites. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.
a. Disclaimer of Warranties. WE AND OUR AFFILIATES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE HIGHER LOGIC COMMUNITY, OR THE COMMUNITY CONTENT FOR ANY PURPOSE. APPLICATION PROGRAMMING INTERFACES (APIs) MAY NOT BE AVAILABLE AT ALL TIMES. TO THE EXTENT PERMITTED BY LAW, THE COMMUNITY IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE COMMUNITY AND THE COMMUNITY CONTENT, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THE COMMUNITY AND COMMUNITY CONTENT MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS.
b. No Indirect Damages. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.
c. Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO TWO HUNDRED DOLLARS.
d. Third Party Products and Sites. WE DISCLAIM ALL LIABILITY WITH RESPECT TO THIRD-PARTY PRODUCTS AND THIRD-PARTY SITES THAT YOU USE. OUR LICENSORS SHALL HAVE NO LIABILITY OF ANY KIND UNDER THIS AGREEMENT.
YOU UNDERSTAND AND AGREE THAT ABSENT YOUR AGREEMENT TO THIS LIMITATION OF LIABILITY, WE WOULD NOT PROVIDE THE COMMUNITY TO YOU.

Governing Law and Venue. These Terms shall be governed in all respects by the laws of the State of Delaware, excluding its conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. The state and federal courts located in the State of Delaware, shall have sole and exclusive jurisdiction over any disputes arising hereunder, and the parties hereby irrevocably consent to the sole and exclusive personal jurisdiction of such courts. Each party waives any objection (on the grounds of lack of jurisdiction, forum non conveniens or otherwise) to the exercise of such jurisdiction over it by any such courts
